Terms & Conditions

1. Introduction and Acceptance

These Terms & Conditions (“Terms”) govern your access to and use of the POWERVELLO LTD website (“Website”), as well as any inquiries, sample requests, or orders you place with us. By accessing the Website or submitting a request, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. B2B Nature of Business

POWERVELLO LTD (“Powervello”, “we”, “us”, or “our”) is a business-to-business (B2B) manufacturer of power banks and electronic 3C products. We exclusively serve registered businesses, corporate entities, and commercial distributors.

By using this Website or placing an order, you represent and warrant that you are acting on behalf of a registered business and not as a private consumer. As such, statutory consumer protection laws and consumer rights of withdrawal (such as the German Widerrufsrecht or the Dutch herroepingsrecht) do not apply to any transactions conducted through this Website.

3. Website Information and Quotations

All product descriptions, specifications, images, and pricing displayed on the Website are provided for general information and preliminary evaluation purposes only. They do not constitute a legally binding offer.

We reserve the right to modify product specifications, designs, or pricing at any time without prior notice. A legally binding quotation is only issued by our sales team in the form of a proforma invoice, PayPal Invoice, or formal written quotation.

4. Order Process and Contract Formation

Submitting a sample request or order through the Website constitutes a purchase request only. It does not constitute a binding contract.

Upon receiving your request, Powervello will conduct a brief B2B qualification review. A binding contract is only formed once:

  • Powervello accepts the request and issues an official invoice (such as a PayPal Invoice for samples or a proforma invoice for bulk orders); and
  • You complete the required payment.

Powervello reserves the right to accept, decline, or cancel any request at its sole discretion prior to the issuance of an invoice and payment confirmation.

5. Payment Terms

Payment terms vary depending on the nature of the order:

  • Sample Orders: Processed exclusively via PayPal Invoice. Invoices must be settled within 7 days of issuance, or the request will be automatically cancelled.
  • Bulk OEM/ODM Orders: Standard payment terms typically require a deposit upon order confirmation, with the balance due before shipment. Accepted methods include bank transfer (T/T) and Letters of Credit (L/C) for established clients. Specific terms will be detailed in the proforma invoice.

Prices are quoted in EUR or USD and do not include applicable import duties, taxes, or customs fees, unless explicitly stated otherwise.

6. Delivery and Transfer of Risk

Unless otherwise agreed in writing, goods are shipped on a DAP (Delivered at Place) or FCA (Free Carrier) basis. The risk of loss or damage to the goods transfers to the Buyer upon delivery to the designated carrier or the agreed destination.

Estimated lead times and shipping durations provided by Powervello are approximate. We are not liable for delays caused by third-party logistics providers, customs clearance procedures, or force majeure events.

7. OEM/ODM Services and Intellectual Property

For customized or private-label projects:

  • Buyer Responsibility: The Buyer is solely responsible for ensuring that any logos, designs, or trademarks provided to Powervello for customization do not infringe upon the intellectual property rights of any third party. The Buyer agrees to indemnify and hold Powervello harmless against any IP infringement claims arising from Buyer-provided assets.
  • Tooling and Molds: Custom tooling and molds developed for a Buyer become the property of the Buyer once the full tooling cost has been paid. However, Powervello retains the right to use generic tooling for standard parts.
  • Confidentiality: Powervello will not disclose or sell customized product designs to third parties without the Buyer’s consent.

8. Quality and Compliance

Powervello designs and manufactures products to meet European Union regulatory standards. We ensure that our products comply with relevant directives, including CE (LVD, EMC, RED), RoHS, REACH, and UN38.3 for battery transport safety.

We provide necessary compliance documentation, such as Declarations of Conformity and test reports, to qualified buyers. However, the Buyer is responsible for ensuring proper importation, local market registrations (such as WEEE), and compliance with their specific local market regulations.

9. Warranty and Defects

We warrant that our products will be free from defects in materials and workmanship under normal use for a period of 12 months from the date of shipment.

In the event of a confirmed defect, the Buyer must notify Powervello within 7 days of receiving the goods, accompanied by photographic or video evidence. We will, at our discretion, repair, replace, or issue a credit for the defective products. This warranty does not cover damage caused by misuse, unauthorized modification, improper handling, or normal wear and tear.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Powervello shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or business opportunities, arising out of or related to the use of our products or services.

Our total aggregate liability for any claim arising from a transaction shall not exceed the total amount paid by the Buyer for the specific products giving rise to the claim.

11. Force Majeure

Powervello shall not be held liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, trade embargoes, government regulations, or significant disruptions in the supply chain or transportation networks.

12. Governing Law and Dispute Resolution

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

Both parties agree to attempt to resolve any disputes amicably through good-faith negotiations. If a resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the courts of the United Kingdom.

13. Changes to Terms

Powervello reserves the right to update, modify, or amend these Terms & Conditions at any time. Changes will be effective immediately upon posting the revised version on the Website. It is the Buyer’s responsibility to review these Terms periodically. Continued use of the Website after changes constitutes acceptance of the updated Terms.
